Mergers and Acquisitions

If you are a music partner with an SRAV agreement that includes a Change of Control clause and your company is being acquired or has undergone an acquisition, you must provide legal notice to YouTube within the timeframe specified in your agreement.

Failure to provide timely notice may result in suspension of certain account features, such as channel linking capabilities.

Required Change of Control Notice Information

At a minimum, your notice must include:

• The effective date of the change of control
• Details about the acquiring party, including:
  • Legal name
  • State or country of incorporation
  • Principal place of business
• A description of what is being acquired, such as:
  • Entire company and assets
  • Specific business divisions
  • Selected assets

After Notice Submission

Once YouTube receives your Change of Control notice, it will determine whether your current SRAV agreement will be terminated.

If Your SRAV Is Terminated:

The acquiring party must either:

• Apply for its own direct SRAV agreement with YouTube, or
• Distribute music content through a Preferred Music Distributor

If SRAV Is Not Terminated

Scenario 1: Acquiring Party Already Has an Existing SRAV

• All Music Videos, Sound Recordings, and Art Tracks must be transferred to the acquiring party’s content owner
• YouTube will coordinate the transfer process and timeline
• Your current content owner account will eventually be closed
• Your existing SRAV agreement will be terminated after transfer completion

Scenario 2: Acquiring Party Does Not Have an Existing SRAV

• You must work with your Partner Manager to complete transfer documentation
• This may include:
  • Novation agreements
  • Assignment agreements
  • Other legal transfer documents

Always coordinate closely with your YouTube Partner Manager to:

• Ensure compliance
• Complete required legal documentation
• Understand available distribution options
• Manage timelines for content transfers or contract changes
